The information set out below is provided for transparency only. It does not constitute legal, regulatory, investment, accounting or tax advice and is not an offer or solicitation in any jurisdiction.
Entity information
The Service is operated by OmhuAI AB, a limited liability company incorporated and registered in Sweden, having its registered office in Stockholm. Corporate identity number, registered address and contact details for formal correspondence are available on request via the Contact page.
Status under the CRA Regulation
BondGovernance is not a credit rating agency within the meaning of Regulation (EC) No 1060/2009 of the European Parliament and of the Council on credit rating agencies, as amended (the "CRA Regulation"), and is not registered or certified with the European Securities and Markets Authority ("ESMA") under that regulation.
The Service does not issue credit ratings as defined in Article 3(1) (a) of the CRA Regulation. The analytical outputs of the Service are governance-infrastructure outputs intended for institutional counterparties; they are not designed, marketed or to be relied upon as a credit rating, credit score, investment advice or recommendation to buy, sell or hold any financial instrument.
Status under MiFID II and related regimes
BondGovernance does not provide investment services or perform investment activities within the meaning of Directive 2014/65/EU ("MiFID II") or the corresponding Swedish implementing legislation. It is not authorised by Finansinspektionen or by any other competent authority to provide regulated financial services and does not hold client money or client financial instruments.
Status under the Benchmarks Regulation
BondGovernance does not administer, contribute to or provide a benchmark within the meaning of Regulation (EU) 2016/1011 (the "Benchmarks Regulation"). Analytical outputs of the Service are not intended to be used, and may not be used, to determine the amount payable under a financial instrument or financial contract, or to measure the performance of an investment fund.
Intended audience
The Service is made available exclusively to professional counterparties acting in a professional capacity, including issuers, trustees, security agents, paying agents, institutional investors and their advisers. It is not directed at, and is not suitable for, retail clients or consumers within the meaning of applicable EU and Swedish law.
Methodology and analytical outputs
The methodology and assumptions underlying the analytical outputs of the Service are described separately on the Methodology page. Outputs are derived from inputs provided by, or made available to, BondGovernance and are subject to the assumptions and limitations described in that methodology. They are intended to support — not replace — independent professional judgement.
Conflicts of interest
BondGovernance does not receive issuer-paid rating fees, does not trade in financial instruments on its own account and does not act as adviser to issuers in respect of transactions analysed by the Service. Where institutional customers subscribe to the Service, the commercial relationship is structured to maintain analytical independence and is subject to internal governance arrangements designed to identify and manage potential conflicts of interest.

Information made available through the Service and on this website is provided for institutional informational purposes only. It does not constitute, and should not be construed as, legal, regulatory, investment, accounting, tax or other professional advice, nor as an offer, solicitation, invitation or recommendation to enter into any transaction. Recipients must form their own independent views and should obtain such professional advice as they consider appropriate.
Complaints
Formal complaints concerning the conduct of OmhuAI AB or the operation of the Service may be submitted in writing via the Contact page, marked for the attention of the Compliance contact. Complaints are handled in accordance with internal governance procedures and are acknowledged within a reasonable period.
Changes to this page
BondGovernance may update the disclosures set out on this page from time to time to reflect changes in the Service, in applicable law or in operational practice. The version published on this page is the version in force.
