Terms of Use

These Terms govern access to BondGovernance, a governance-infrastructure service operated by OmhuAI AB for professional counterparties in the EU/EEA.

§ 01

Scope and acceptance

These Terms of Use (the "Terms") govern access to and use of the BondGovernance website at bondgovernance.com, together with any related documentation, APIs, dashboards and reporting outputs (collectively, the "Service"). The Service is provided by OmhuAI AB, a company registered in Sweden ("BondGovernance", "we", "us").

By accessing the Service you confirm that you have read, understood and agree to be bound by these Terms. If you do not accept these Terms, you must not access or use the Service.

§ 02

Eligibility — professional counterparties only

The Service is made available exclusively to professional counterparties acting in the course of their business, including credit institutions, investment firms, fund managers, bond trustees, security agents, paying agents, issuers and their professional advisers.

The Service is not directed at retail clients within the meaning of Directive 2014/65/EU (MiFID II) or at any person in any jurisdiction where such offering or use would be contrary to applicable law or regulation. You are responsible for ensuring that your access to and use of the Service is lawful in your jurisdiction.

§ 03

Nature of the Service — no credit rating, no advice

BondGovernance provides governance, monitoring and reporting infrastructure for secured bonds. The Service is not, and must not be relied upon as:

  • a credit rating, credit assessment or credit opinion within the meaning of Regulation (EC) No 1060/2009 (the EU CRA Regulation);
  • a benchmark within the meaning of Regulation (EU) 2016/1011 (the EU Benchmarks Regulation);
  • investment advice, investment research, a personal recommendation, a solicitation or an offer to buy, sell or hold any financial instrument; or
  • legal, tax, accounting, regulatory or actuarial advice.

Outputs of the Service are produced from data supplied by you, by issuers, by trustees and agents, and by third-party data sources, and are intended to support — not replace — your own independent analysis, due diligence and judgement.

§ 04

Access, credentials and acceptable use

Access to non-public parts of the Service requires credentials issued by BondGovernance. You are responsible for maintaining the confidentiality of your credentials and for all activity conducted through your account. You must notify us immediately of any actual or suspected unauthorised use.

You must not (and must not permit any third party to): (i) access the Service other than through the interfaces we provide; (ii) probe, scan, test or reverse engineer the Service; (iii) circumvent any authentication, rate-limiting or access control; (iv) introduce malicious code; (v) use the Service to build a competing service; or (vi) use the Service in violation of applicable law, including sanctions, anti-money-laundering and market-abuse regulations.

§ 05

Customer data and confidentiality

As between the parties, you retain all rights, title and interest in the data you submit to the Service ("Customer Data"). You grant BondGovernance a non-exclusive, worldwide, royalty-free licence to process Customer Data solely to operate, secure and improve the Service and to provide it to you in accordance with these Terms and our Privacy Notice.

Each party will treat the other's non-public information as confidential and will use it only for the purposes of the Service. Personal data is processed in accordance with the Privacy Notice and, where applicable, a separate Data Processing Agreement.

§ 06

Intellectual property

The Service, its software, models, documentation, methodologies, design system and all related intellectual property rights are and remain the exclusive property of OmhuAI AB and its licensors. "BondGovernance" is a trademark of OmhuAI AB. No rights are granted to you other than the limited right to use the Service in accordance with these Terms.

§ 07

Third-party sources and integrations

The Service may incorporate data, content or functionality provided by third parties (including issuers, trustees, paying agents, market-data vendors and infrastructure providers). BondGovernance does not endorse, warrant or assume responsibility for any third-party content, and your use of such content is subject to any additional terms imposed by the relevant third party.

§ 08

Warranties and disclaimer

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, BondGovernance disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness and non-infringement. BondGovernance does not warrant that the Service will be uninterrupted, error-free or cryptographically perfect, or that defects will be corrected.

§ 09

Limitation of liability

To the maximum extent permitted by applicable law, BondGovernance and its affiliates, directors, employees and licensors shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profit, revenue, business, goodwill, anticipated savings or data, arising out of or in connection with the Service, whether in contract, tort (including negligence) or otherwise.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

§ 10

Suspension and termination

BondGovernance may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have breached these Terms, that continued access poses a security, regulatory or reputational risk, or that suspension is required by applicable law. Provisions which by their nature should survive termination shall do so.

§ 11

Governing law and jurisdiction

These Terms are governed by the laws of Sweden, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden, save that BondGovernance may bring proceedings to protect its intellectual property rights in any competent jurisdiction.

§ 12

Changes to these Terms

BondGovernance may update these Terms from time to time to reflect changes in the Service, applicable law or operational practice. The version published on this page is the version in force. Continued use of the Service after publication of an updated version constitutes acceptance of the updated Terms.
